1. Services

RAY8 Works ("we," "our," or "the Agency") provides operational support, executive assistance, and administrative services to businesses and individuals ("Clients"). These Terms govern your use of our services and website.

2. Client Engagement

Service engagements begin upon mutual agreement of scope, pricing, and terms outlined in a separate service agreement or proposal. We reserve the right to decline or discontinue services at our discretion.

3. Payment Terms

Clients agree to pay fees as outlined in their service agreement. Payment is due according to the schedule specified (typically monthly in advance). Late payments may result in service suspension.

4. Confidentiality

We treat all client information as confidential. We will not share, sell, or disclose your business information to third parties except as required to deliver services or as required by law. Our team members are bound by confidentiality agreements.

5. Intellectual Property

Work product created for clients (documents, processes, systems) belongs to the client upon payment. Our internal methodologies, templates, and processes remain our property.

6. Limitation of Liability

Our liability is limited to the fees paid for services in the month the issue arose. We are not liable for indirect, incidental, or consequential damages. We provide services "as is" and make no guarantees of specific outcomes.

7. Termination

Either party may terminate services with 14 days written notice. Upon termination, clients are responsible for fees incurred through the termination date. We will provide reasonable transition support.

8. Independent Contractors

Our team members are independent contractors, not employees of clients. Clients agree not to solicit or hire our team members directly for 12 months following service termination.

9. Governing Law

These terms are governed by the laws of the State of Delaware, USA. Disputes will be resolved through good-faith negotiation or, if necessary, binding arbitration.

10. Changes to Terms

We may update these terms periodically. Continued use of our services constitutes acceptance of updated terms.
